Bylaws

1. The Association

It is hereby constituted an “Association BloCH, Switzerland, in conformity with Art. 60 ff. of the Swiss Civil Code. The seat of the Association is in Zurich.

2. Aim

The aim of the Association is to organise, encourage and coordinate manifestations (in particular musical manifestations) in Switzerland. For this purpose the Association may receive donations and subventions.

3. Members

New members may be appointed by the Board. The members may leave the Association at any time.

4. General Meeting

The General Meeting may take its decisions (in particular the nomination of the Board and the approval of the accounts ) at the majority of all members present and voting. The bylaws may be modified by the General Meeting, with the same majority. The decisions of the General Meeting may also be taken in writing, if no member requires a meeting to be held.

5. Board

The Board has all powers which are not imperatively reserved to the General Meeting. In particular, the Board appoints its Chairman. The Board may appoint an “Executive Board”, responsible for currents affairs. The decisions of the Board may be taken in a formal meeting or in writing.

6. Duration

The Association is constituted for an indefinite period. The General Meeting may decide at any time that the Association is to be terminated; it will decide the appropriation of the remaining funds (if any).
